The owner of a planet doesn't matter, it is the population of the planet.
If you did gift each other planets, you would still have to shuttle the correct-breathing population to the planets.
Consider the following: Trade (or gift) a loaded population transport with your ally. He can populate any of his hydrogen planets with your race, and you can populate any of your oxygen planets with his race.
